1. Introduction and Acceptance

Welcome to www.roguevalleywinetasting.com (the “Website,” “we,” “us,” or “our”), operated by WJD Media, LLC, a California limited liability company, with its principal place of business at 27422 Aliso Creek Rd Suite 250, Aliso Viejo, CA 92656. These Terms of Service (“Terms”) govern your access to and use of the Website, including any content, functionality, and services offered on or through the Website.

By accessing, browsing, or using the Website in any manner, including by registering an account, listing a winery, or purchasing wine, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you are using the Website on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Description of Services

The Website is an online directory and marketplace designed to assist travelers in discovering wineries within Rogue Valley, Oregon. Generally, our services include:

  • A directory of wineries, including descriptions, locations, hours, and other relevant information.
  • Paid membership tiers for wineries (“Winery Members”) that provide enhanced visibility, promotional placement, and the ability to sell wine directly through the Website.
  • An online marketplace where travelers and other users (“Customers”) may purchase wine from participating Winery Members.
  • Related travel and informational content about the region.

3. Eligibility and Account Registration

3.1 Age Requirement

You must be at least 21 years of age to use the Website. Wine and other alcoholic beverages may only be purchased by individuals who are 21 years of age or older. By using the Website, you affirm that you are of legal drinking age in your jurisdiction.

3.2 Account Registration

Certain features of the Website require account registration. When you register, you agree to: (a) provide accurate, current, and complete information; (b) maintain and promptly update your account information; (c) maintain the security of your password and accept all risks of unauthorized access; and (d) immediately notify us of any unauthorized use of your account. You are responsible for all activities that occur under your account. We reserve the right to suspend or terminate your account at our sole discretion, with or without notice, for any reason, including violation of these Terms.

4. User Conduct and Prohibited Activities

You agree not to use the Website to:

  • Violate any applicable federal, state, local, or international law or regulation, including alcohol beverage control laws.
  • Misrepresent your age, identity, or affiliation with any person or entity.
  • Purchase wine on behalf of a minor or for delivery to any person under 21 years of age.
  • Resell, distribute, or commercially exploit wine purchased through the Website without proper licensing.
  • Upload or transmit any content that is unlawful, defamatory, obscene, fraudulent, or infringing on any third-party rights.
  • Interfere with, disrupt, or attempt to gain unauthorized access to the Website, its servers, or networks.
  • Use automated means (bots, scrapers, crawlers) to access, copy, or extract Website content without our prior written consent.
  • Engage in any activity that could harm, disable, overburden, or impair the Website.

5. Use of the Itinerary Function

5.1 Itinerary Function Mapping and Navigation Features

The Website offers mapping, routing, and location features (the “Itinerary Function”) for general planning and informational purposes only. They are a convenience, not a substitute for your own judgment. You are solely responsible for the safe operation of your vehicle at all times. Your use of the Map Features does not reduce, transfer, or share that responsibility in any way. You remain solely responsible for:

  • Operating your vehicle safely and attentively.
  • Obeying all applicable traffic laws, regulations, and ordinances.
  • Obeying all posted signs, signals, speed limits, road notices, detours, and closures.
  • Observing and responding to road conditions, weather, terrain, hazards, obstructions, wildlife, pedestrians, cyclists, and other road users.
  • Adapting to changes in road conditions or routing that occur in real time.

Map data, routes, travel times, road conditions, and points of interest may be inaccurate, incomplete, outdated, or unavailable. Routes may include private roads, seasonal roads, unpaved roads, gated roads, or roads unsuitable for your vehicle. Conditions and hazards change constantly and may not be reflected in Google Maps or on the Site. Posted signage and actual road conditions always control over anything shown on the Site. If the Itinerary Function conflicts with what you observe, with posted notices, or with the direction of law enforcement, adhere to the existing conditions.

Do not use the Itinerary Function while driving. Enter destinations before you depart or have a passenger handle navigation.

5.2 Google Maps

The Itinerary Function and more specifically the Map Features are powered in part by Google Maps. By using the Map Features, you agree to be bound by the Google Maps/Google Earth Additional Terms of Service and the Google Privacy Policy, each as they may be updated from time to time.

Google’s map data and services are provided by Google, not by us. We do not control, generate, verify, or guarantee that data, and we are not responsible for it.

5.3 Wineries, Tastings, and Designated Drivers

The Website references wineries, tasting rooms, and other venues that serve alcohol.

If your plans include tasting or consuming alcohol, use a designated driver, a rideshare, a taxi, a shuttle, or a professional tour service. Do not plan to drive yourself.

You agree that you will not operate a vehicle while under the influence of alcohol. You are solely responsible for monitoring and moderating your own consumption and that of anyone traveling with you, and for arranging safe transportation before you begin.

You confirm that you and every member of your party are of legal drinking age. Nothing on this Site encourages, endorses, or facilitates impaired driving, underage drinking, or over-consumption.

We do not sell, serve, furnish, or supply alcohol. We do not operate, own, control, inspect, or endorse any winery or venue referenced on the Site, and we are not responsible for their products, premises, service practices, hours, availability, or conduct.

5.4

You use the Itinerary Function and the Map Features entirely at your own risk, and you assume full and sole liability for your decisions, your conduct, and your travel. This includes, without limitation, your driving, your route choices, your alcohol consumption, your transportation arrangements, and your visits to any winery or venue.

To the fullest extent permitted by law, you release and hold harmless Uncork the Rogue and its owners, members, officers, employees, and agents from any and all claims, demands, damages, injuries, losses, costs, or expenses arising out of or relating to your use of the Itinerary Function, Map Features, your travel, your consumption of alcohol, or your visits to any venue.

5.5

You use the Itinerary Function and the Map Features entirely at your own risk, and you assume full and sole liability for your decisions, your conduct, and your travel. This includes, without limitation, your driving, your route choices, your alcohol consumption, your transportation arrangements, and your visits to any winery or venue.

To the fullest extent permitted by law, you release and hold harmless WJD Media, LLC and its owners, members, officers, employees, and agents from any and all claims, demands, damages, injuries, losses, costs, or expenses arising out of or relating to your use of the Itinerary Function, Map Features, your travel, your consumption of alcohol, or your visits to any venue. Map Features are provided “as is” and “as available,” without warranties of any kind, express or implied, including any warranty of accuracy, reliability, merchantability, fitness for a particular purpose, or non-infringement.

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any personal injury, death, property damage, citation, fine, arrest, delay, or loss arising from your use of the Site or the Map Features.

Nothing in these Terms limits liability that cannot be limited or excluded under applicable law.

6. Intellectual Property

6.1 Our Content

The Website and its original content (excluding Winery Member content and User Content), features, and functionality are owned by us and are protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Website for personal, non-commercial purposes in accordance with these Terms.

6.2 Winery Member and User Content

By submitting content to the Website (“User Content”), including listings, photos, reviews, comments, or other materials, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in connection with operating, promoting, and improving the Website. You represent and warrant that you own or have the necessary rights to grant this license.

6.3 Trademarks

All trademarks, service marks, logos, and trade names appearing on the Website are the property of their respective owners. Nothing on the Website should be construed as granting any license or right to use any trademark without the prior written consent of its owner.

7. Reviews and User Submissions

If you submit a review, comment, or other public content, you agree that it will be truthful, based on your genuine experience, and not contain any unlawful, defamatory, or offensive material. We reserve the right to remove or edit any review or submission at our sole discretion, with or without notice. We do not endorse, guarantee the accuracy of, or assume liability for any User Content.

TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that: (a) the Website will be uninterrupted, secure, or error-free; (b) any information on the Website is accurate, complete, or current; (c) any wines, wineries, or experiences listed will meet your expectations; or (d) any defects will be corrected. We make no representations or warranties regarding the quality, safety, legality, or accuracy of any wine, listing, or content provided by Winery Members.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WJD MEDIA, LLC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE WEBSITE, ANY WINE PURCHASED THROUGH THE WEBSITE, OR ANY INTERACTION WITH ANY WINERY MEMBER, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE WEBSITE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00). NOTHING IN THESE TERMS LIMITS OR EXCLUDES OUR LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY OUR NEGLIGENCE, FOR FRAUD OR FRAUDULENT MISREPRESENTATION, OR FOR ANY OTHER LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW, INCLUDING CALIFORNIA CIVIL CODE SECTION 1668.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

12. Indemnification

You agree to defend, indemnify, and hold harmless WJD Media, LLC, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with: (a) your access to or use of the Website; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property right or privacy right; (d) any User Content you submit; (e) any wine you purchase, consume, or distribute; or (f) for Winery Members, any product, service, or content you offer through the Website.

13. Termination

We may terminate or suspend your access to the Website immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Website will cease immediately. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14. Modifications to the Terms and Service

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on the Website and updating the “Last Updated” date. Your continued use of the Website after changes become effective constitutes acceptance of the revised Terms. We also reserve the right to modify, suspend, or discontinue any part of the Website at any time without notice.

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Subject to the arbitration provisions in Section 18, any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Orange County, California, and the parties consent to personal jurisdiction and venue therein.

16. Dispute Resolution; Arbitration; Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

17.1 Informal Resolution

Before filing any claim, you agree to first contact us at talk@wjdmedia.com and attempt to resolve the dispute informally for at least sixty (60) days.

17.2 Binding Arbitration

If the dispute is not resolved informally, you and we agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Website shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall be conducted in Orange County, CA, or any other location mutually agreed upon. Judgment on the award may be entered in any court of competent jurisdiction.

17.3 Class Action Waiver

YOU AND WE AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person’s claims and may not preside over any form of representative or class proceeding. If a court or arbitrator determines that this Class Action Waiver is unenforceable or invalid as to a particular claim or request for relief, then that claim or request for relief, and only that claim or request for relief, shall be severed and may be brought in a court of competent jurisdiction, while all remaining claims shall proceed in arbitration.

17.4 Opt-Out

You may opt out of this arbitration agreement by sending written notice to us at 27422 Aliso Creek Rd, Suite 250, Aliso Viejo, CA 92656 within thirty (30) days of first accepting these Terms. Your notice must include your name, address, and a clear statement that you wish to opt out of arbitration.

17.5 Exceptions

Notwithstanding the foregoing, either party may bring an individual action in small claims court, and either party may seek injunctive or equitable relief in court for the protection of intellectual property rights.

18. General Provisions

18.1 Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices published by us on the Website, constitute the entire agreement between you and us concerning the Website.

18.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

18.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

18.4 Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms at any time without notice to you.

18.5 Force Majeure

We shall not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

18.6 Notices

All notices to us must be sent in writing to the address below, with a copy to talk@wjdmedia.com. We may provide notice to you by email to the address associated with your account or by posting notices on the Website.

18.7 Relationship of the Parties

Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and us. Winery Members are independent businesses and are not our employees, agents, or partners.
